1. Trustee Executive Council (TEC) and Executive Committee (EC) members, in order to protect themselves and the Hindu Society of Minnesota(HSMN) from allegations of a real
or apparent conflict of interest or favoritism, must take individual responsibility for evaluating their own financial interest or that of their family and/or associates that relates directly, indirectly, or personally to their duties on Trustee Executive Council(TEC) and Executive Committee (EC).
2. A real or apparent conflict of interest for a member of the Committee exists when any of those listed below may benefit from, or have a personal or financial interest in, a specificaction(s) under consideration by either body during his/her tenure as a Committee member and for one year thereafter:
a. The Committee member, his/her spouse, minor child, partner(s), or associate(s);
b. A nonprofit or for-profit organization in which the Committee member is serving as an officer, director, trustee, partner, employee, or representative; or
c. Any person or organization with which the Committee member is negotiating or has any arrangement concerning prospective employment.
3. Committee members with a real or apparent conflict of interest shall not receive for review;act upon; be present during that portion of the meeting to review, discuss, or score; or take part in any subsequent recommendations or decisions regarding specific action under
consideration relative to any of the following areas:
a. Financial, land and property related matters of HSMN and Hindu Temple.
b. Other agreements in connection with any employment, project, event and financial matters.
4. Should any documentation be transmitted to the committee member for review which (from the board or committee members evaluation) presents a real or apparent conflict of interest situation, all documentation on that action shall be returned to the HSMN with the specific reason why that member is abstaining from the action.
5. When a real or apparent conflict of interest position arises in the context of a voting situation at a Committee meeting, the HSMN or member must disclose the possible conflict of interest and physically absent himself/herself from the room during the decision-making
process (including presentations and discussions) and neither vote directly, in absentia, nor by proxy, in the matter under consideration. Those in a position to make the decision must be fully informed as to the possible interest of the person(s) abstaining and absenting themselves. This information shall also be recorded in the minutes of the meeting.
6.TEC/EC members shall keep privacy of the HSMN employee data or any other personal matters of any HSMN member. He/she shall not use or disclose the information
